A total of 205,462 F Secure shares were subscribed for with the
1999B warrants, with the 1999C warrants and with the 1999D warrants
attached to the F Secure 1999 I Warrant Plan.
A total of 1,072,862 F Secure shares were subscribed for with
the 1999D warrants, with the 2001B warrants, with the 2001C
warrants, with the 2001D warrants, with the 2002A warrants, with
the 2002B warrants and with the 2002C warrants attached to the
F-Secure 1999 II Warrant Plan.
A total of 156,466 F-Secure shares were subscribed for with the
1999D warrants, with the 2001B warrants, with the 2001D warrants,
with the 2002A warrants and with the 2002B warrants attached to the
F-Secure 1999 III Warrant Plan.
A total of 13,650 F-Secure shares were subscribed for with the
A1/A2 warrants attached to the F-Secure 2002 Warrant Plan. The
issue of the 1999 I, 1999 II and 1999 III Warrant Plan was approved
by the Annual General Meeting on August 10, 1999 and the issue of
the 2002 Warrant Plan was approved by the Annual General Meeting on
March 27, 2002, respectively.
In aggregate the number of shares was increased by 1,448,440.
The corresponding increase in the share capital, in total EUR
14,484.40 was registered in the Finnish Trade Register on October
7, 2005. As a result of the increase, the share capital of F-Secure
currently is EUR 1,539,060.12 and the total number of shares is
153,906,012. F Secure received as additional shareholders' equity a
total of EUR 1,454,753.70.
The holders of the new shares are entitled to all shareholders'
rights from the registration day. The Company has submitted an
application for the new shares to be listed on the Helsinki
Exchanges together with the other Company shares. The trading with
the new shares will commence on October 10, 2005.
The subscription period for the 1999B warrants began on 1 August
1999, for the 1999C warrants on 1 August 2000 and for the 1999D
warrants on 1 August 2001 of the 1999 I Warrant Plan. The
subscription period for the 1999D warrants began on 1 January 2001,
for the 2001B warrants on 1 July 2002, for the 2001C warrants on 1
October 2002, for the 2001D warrants on 1 January 2003, for the
2002A warrants on 1 April 2003, for the 2002B warrants on 1 July
2003 and for the 2002C warrants on 1 October 2003 of the 1999 II
Warrant Plan. The subscription period for the 1999D warrants began
on 1 January 2001, for the 2001B warrants on 1 July 2002, for the
2001D warrants on 1 January 2003, for the 2002A warrants on 1 April
2003 and for the 2002B warrants on 1 July 2003 of the 1999 III
Warrant Plan. The subscription period for the A1 warrants began on
1 November 2003 and for the A2 warrants on 1 November 2004 of the
F-Secure 2002 Warrant Plan, respectively.
